General Membership Conditions

The following general membership conditions (refered to as « the terms and conditions ») define the rules of the commercial bond between the company « Société d’Aménagement de la station de La Plagne » and the Edenskier, who subscribed to the loyalty program refered to as “EDENSKI”.
 

ARTICLE 1. DEFINITIONS

Each time the following terms will be used in the terms and conditions or when refered to in their implementation, those terms will have the meaning defined here after:.

ARTICLE 2. PURPOSE

Those terms and conditions aim at defining the terms and conditions to the subscription to the program
 

ARTICLE 3. SUBSCRIPTION TO THE PROGRAM

3.1 Conditions of subscription to the program
 
Only natural persons older than 18 years old can subscribe to the program.
Natural persons younger than 18 years old must have gotten the agreement from their parents, tutor or legal representative to subscribe to the program.
 
3.2 Program subscription procedure
 
The subscription to the program can exclusively be realized via the website. No subscription to the program by mail or phone will be taken into account. The subscription is free. To subscribe to the program, the Edenskier must create an EDENSKI account which is strictly personal. To create his account, the Edenskier must connect to the website and fill the subscription form by completing the fields identified as mandatory. The Edenskier must validate his subscription by clicking on the button at the bottom of the page called “Become an Edenskier”. Only one EDENSKI account will be linked to a person and his email address. On this account, the Edenskier authorizes the company to proceed to any verification about his identity and details; the company reserves itself the right to proceed or not to an automatic verification on all subscription forms received. Once the EDENSKI account is created by the Edenskier and validated by the company, the Edenskier can access to his EDENSKI account, using his user name and password. The Edenskier will then have the possibility to register the WTP numbers he wants on his account as well as his apartments, accordingly to the processes described in those terms and conditions. The apartment cards are equipped with a barcode permitting the company to credit Eden Points on the corresponding account, please note that if the barcode is soiled, stained, altered or unreadable it will be considered unusable and not valid.
 
3.3 Process of acquisition of the PREMIUM Edenskier status
 
The PREMIUM Edenskier status permits the Edenskier to acquire extra Eden Points according to the conditions described hereafter in the article 4.2.2
 
In order to acquire the PREMIUM Edenski status, the Edenskier must be, either a real estate property owner on the 1st of January N (House, apartment, chalet,etc.) on the following villages : Aime la Plagne ; La Plagne Tarentaise et Champagny en Vanoise.
The Edenskier can register the real estate property (ies) of which he is owner on the website by filling the form dedicated to this purpose which is available on the website.
He has to join a copy (digital format) of one of the following evidence files:

The status PREMIUM will be allocated to the Edenskier after validation of the form and the evidence file by the company within 15 days after the complete form was sent.
The PREMIUM Edenskier will be asked to prove he still is the owner of the real estate property every 3 years, at the anniversary date of acquisition of his PREMIUM status (that is to say, on the day the PREMIUM status demand is validated by the company).

ARTICLE 4. FUNCTIONING OF THE PROGRAM

4.1 Advantages
 
4.1.1 Participation to animations: The Edenskier can freely participate to animations organized by the company on the skiing area of La Plagne and/or on the skiing area of Paradiski. These animations are informed on the website. In order to participate to an animation, the Edenskier must register on the website as soon as he receives the email informing him about the opening of the registration sent by the company. Please note that the number of places is limited; as a result, they will be allocated acoording to the following principle “First arrived, first served”.
 
4.1.2 Reductions on prices: The Edenskier can benefit from reductions on prices for any online purchase (on the website which address is indicated on the website in the section “Eden Prices”) before the 1st of December N: -Of a season skipass “La Plagne”, valid for all the winter season (from around the 1st of December N to around the 30th of April N+1) and for all the summer season (from around the 1st of July N+1 to around the 31st of August N+1) of the domain La Plagne; and/or a season’s skipass “Paradiski”, valid for all the winter season (from around the 1st of December N to around the 30th of April N+1) and for all the summer season (from around the 1st of July N+1 to around the 31st of August N+1) of the Paradiski skiing area. The Edenskier can also benefit from a reduction on prices for his first subscription to the program “Skiàlacarte” by using the website dedicated to the commercialization of this product (the address of this website is informed on the website, section “Eden Prices”). The code that is required to benefit from this reduction is informed on the website, section “Eden Prices”. The reductions on prices are freely determined by the company and are available for consultation on the website, in the section “Eden Prices”. The reductions on prices are valid from the 1st of December 2014 and can be modified at any time by the company.
 
4.2 Acquisition of Eden Points
 
The Eden Points can be acquired only as follows:
 
4.2.1 Purchase of (a) product(s) by the Edenskier
 
The Edenskier can accumulate Eden Points when he purchases products from the company:

The WTP numbers can be informed in the EDENSKI account up to 15 days after the passes were purchased.
The price scale, freely determined by the company, is available for consultation on the website; it is applicable as of the 1st of December 2014 and can be modified at any time by the company.
The number of Eden Points acquired by the Edenskier for each purchase of product(s) from the company, as well as the cumulated number of Eden Points is communicated to the Edenskier on his personal EDENSKI account accessible via the website.
 
4.2.2 Purchase of products by the occupants, holders of apartment cards
 
The PREMIUM Edenskier will accumulate extra Eden Points when the occupants, holders of a card, will buy products.
For each product bought by an occupant, holder of a coupon, the PREMIUM Edenskier will acquire Eden Points according to a price scale freely determined by the company and available for consultation on the website. This price scale is applicable as of the 1st of December 2014 and can be modified at any time by the company.
The number of Eden Points acquired this way will be communicated to the PREMIUM Edenskier on his EDENSKI personal account accessible on the website.
Otherwise, the occupant can, when he purchases (a) product(s) and shows the card, benefit from a gift given for any purchase of a skipass at public rate (except from promotions).
The occupant must show his apartment card at the cashier before paying his product(s).
If the barcode of the apartment card is soiled, stained, altered or unreadable it will be considered unusable and not valid.
The apartment card is valid for the purchases realized in points of sales.
 
No Eden Point can be allocated afterwards, moreover in the hypothesis for which the occupant would show the apartment card after he paid his product(s).
The points’ scale referred to, for the acquisition of Eden Points is determined according to the products bought.
The points’ scale, which is freely determined by the company, is available for consultation on the website; it is applicable as of the 1st of December 2014 and can be modified at any time by the company.
The number of Eden Points acquired by the Edenskier for each purchase of product(s) of the company as well as the cumulated number of Eden Points is communicated to the Edenskier on his EDENSKI personal account accessible via the website.
 
4.3 Conversion of Eden Points
 
The cumulated Eden Points can be exchanged for gifts. The catalogue of gifts is available on the website.
For each gift presented on the website, the corresponding number of Eden Points needed to get the gift will be informed as well as any other demanded condition if required (for instance, a financial participation).
When the Edenskier wishes, and if he has the sufficient number of Eden Points, he must select the chosen gift on the website.
The choice of the Edenskier will then automatically be transmitted to the company.
To withdraw his gift, the Edenskier must come to the indicated location on the gifts’ catalogue with a proof of identity and his EDENSKI codes.
The cumulated Eden Points must be exchanged for one or several gifts within 36 (thirty-six) months after their acquisition date. If not, the Eden Points will definitely be lost and the Edenskier will be denied the claim for any damages.
The Eden Points are only exchangeable for the gifts one can find in the gift catalogue at the time the Eden Points are wanted to be exchanged for a gift.
The gifts’ catalogue is inclined to change or to be modified at any time, the Edenskier is invited to consult it on a regular basis.
The Eden Points have no market value: they will neither be reimbursed, nor exchangeable for other gifts and cannot be sold in any case.
The gifts can neither be exchanged for other gifts or money or any other form of credit and cannot be sold in any case.
The gifts chosen by the Edenskier must be withdrawn before the end of the same winter season the Edenskier chose them on the website. If not, the chosen gifts and the corresponding Eden Points demanded to get the gift will be lost.
The company insists on the fact that when the chosen gift consists in a transport pass granted by the company, the terms and conditions of use of the pass are applicable.
 
4.4 Expiring date of the Eden Points
 
The cumulated Eden Points can be used until the closest of the following dates:

ARTICLE 5. DUTIES OF THE EDENSKIER

The Edenskier commits to :-Not use in an illicit, derived or with bad intentions the program, the EDENSKI codes, the coupons and the gifts; and, -Take on the entire responsibility of the content of his transmissions to the company, be it via the website or via any other mean, moreover concerning the information, throughout the program; and, -Informing the company, as soon as possible of any loss, derived use or non-authorized use of his EDENSKI codes; and, -To respect the rules that define the course of action, customs and rules of behavior of the Internet as well as any user instructions and warnings from the company; and, -Not to reproduce, copy, sell, re-sell, or exploit in a commercial profit purpose all or parts of the program, any use of the program or any access right to the program; and, - Not to obtain or attempt to obtain in an illicit way Eden Points; and, - Not to print or attempt to print in an illicit way coupons. Any fraud or abuse related to the EDENSKI program can result in administrative and judiciary actions by the company, confiscation of Eden Points, advantages, coupons as well as cancellation of the subscription of the Edenskier to the program.
 
Article 6. Duration of the membership
 
The subscription to the program comes into effect as of the validation date by the company of the subscription of the Edenskier. The duration of the membership will go on for an undetermined duration, unless the EDENSKI account is closed, either by the Edenskier or the company and/or in case of application of one or several hypothesis listed in the article 8.
 

ARTICLE 7. MODIFICATION/ADJOURNMENT/END OF THE PROGRAM

The company keeps the right to make evolutions and/or modify without limit, all or parts of the elements and the functioning of the program, as defined in those terms and conditions, including the acquisition conditions of Eden Points as well as the conditions of conversion of Eden Points into gifts.
Those modifications will be communicated to the Edenskier on the website and/or by email (provided that the email address communicated by the Edenskier when he subscribed to the program is still valid and active), in a reasonable period. However, certain modifications can have an immediate effect and the company will inform the Edenskier as soon as possible, on the website and/or by email (provided that the email address communicated by the Edenskier when he subscribed to the program is still valid and active). The company keeps the right to modify, suspend or erase, at any moment, all or parts of the program. The company commits itself to inform the Edenskier previously on the website and/or by email (provided that the email address communicated by the Edenskier when he subscribed to the program is still valid and active). In any case, the company cannot be held responsible in any manner and for any cause in the eye of the Edenskier. No modification, suspension or suppression in the program gives a reason for the Edenskier to be compensated. If, on the day the program is stopped, the sum of Eden Points of the Edenskier gives him the possibility to exchange it for a gift, then he will be granted the right to get it, only if he demands it within 15 (fifteen) days  after the information of the end of the program was communicated on the website and/or the sending of the email on this very subject (provided that the email address communicated by the Edenskier when he subscribed to the program is still valid and active). If the Edenskier does not convert his cumulated Eden Points into gifts within the period previously mentioned, the Eden Points will definitely be lost.
 

ARTICLE 8. TERMINATION

8.1 Termination by the Edenskier
 
The Edenskier can freely end his membership by sending a demand of termination by recorded letter with acknowledgement of receipt sent addressed to the Marketing department of La Société d’Aménagement de la Plagne, at the following address : Société d’Aménagement de la Plagne (SAP), Marketing department, BP 57 la Plagne-73214 AIME CEDEX. The non-used Eden Points on the date of the demand of termination will definitely be lost and the Edenskier cannot claim any damages.
 
8.2 Termination by the company for failure of the Edenskier
 
The company can terminate the membership of the Edenskier, without notice, by rights and without any judiciary formality, if: -The Edenskier does not respect those terms and conditions; and/or, -he uses in an abusive way or frauds with his EDENSKI codes and/or coupons and/or gifts; and/or, -the account is not active. The account will be considered not active if it is not credited with Eden Points, for 12 (twelve) months in a row; and/or, -he does a fraudulent use, derived or with bad intentions of the program (especially, if he creates several accounts for the same person, does anything resulting into an unjustified acquisition of Eden Points, does anything resulting into the printing of fraudulent coupons, etc.); and/or, -he makes available for another person, his EDENSKI account which is strictly personal; and/or, -The Edenskier does not update his information, and makes sure they are complete and accurate. In these cases, the Eden Points acquired by the Edenskier, his advantages, gifts and coupons not yet used at this date will definitely be lost and the Edenskier will be denied the right to claim any damages.
 
8.3 Other cases of termination
 

The company can also terminate the membership of the Edenskier, without notice, by rights and without any judiciary formality in case of legal change or ruling or in case of a decision made by an administrative authority or else, preventing the program to carry on. In this case, the Eden Points acquired and the advantages, gifts and coupons not yet used at this date by the Edenskier will definitely be lost and the Edenskier will be denied the right to claim any damages.

ARTICLE 9. IT AND LIBERTY - "INFORMATIQUE ET LIBERTE"

In application of the French modified law n° 78-17 of the 6th of January 1978, on the subject of IT, folders and liberties, the Edenskier is informed that the collected information, especially when the Edenskier subscribes to the program on the website are necessary to the creation of his EDENSKI codes and their use. The information thus collected as well as the other information collected afterwards will be automatically be processed by the company. The responsible person of the personal data processed for the management of the program is the company. Accordingly to the articles 39 and following of the law previously mentioned, the Edenskier, has the right to access, modify, correct, oppose and delete the information related to his person. To do so, the Edenskier, must send an email at the following address: info@edenski.com. Regarding his subscription, the Edenskier, can accept to receive, by email, newsletters on the program. The Edenskier will have the possibility to unsubscribe by clicking on the hypertext link present in the content of those newsletters. It is precised that the email address of the occupant potentially informed by the PREMIUM Edenskier in coupons’ request form, accordingly to the article 4.2.2 here before will not be used by the company.
 

 ARTICLE 10. UPDATING MEMBER'S PERSONAL INFORMATION

In case of modification of his details, his email address or else, the Edenskier shall proceed to an update of his details connecting to his personal account on the website.
 

ARTICLE 11. MODIFICATION OR EVOLUTION OF THOSE TERMS AND CONDITIONS

The terms and conditions are inclined to evolve and/or to be modified at any moment and without notice by the company. In order to acknowledge potential modifications of those terms and conditions, the Edenskier is invited to consult them on a regular basis on the website.
 

ARTICLE 12. ACCEPTATION OF THE TERMS AND CONDITIONS

The Edenskier, acknowledges those terms and conditions and declares he accepts them thoroughly.
 

ARTICLE 13. APPLICABLE LAW AND JURISDICTION

The terms and conditions are subject to the French law. Any disagreement related to the existence, the validity, the interpretation, the implementation or termination of those terms and conditions will, if it cannot be solved in an amicable way by the Edenskier and the company, fall to the exclusive competence of Chambery’s courthouse.
